Business Development Company
A Business Development Company enables individuals to pool their capital to invest in debt of privately owned American companies. The portfolio of debt and equity is positioned as a security and investors may purchase shares, similar to using stocks and bonds to invest in public American companies. Those companies intend to make earnings or interest payments to the BDC, whose objective is to pass income along to its investors through distributions.
Disclaimer: Investments in non-traded business development companies (BDCs) are subject to significant risks. This is a “blind pool” offering. The fund has not identified any specific investments as of the date of the Prospectus and therefore cannot determine all of the potential risks associated with its portfolio at this time. These risks include limited operating histories, reliance on the advisors, conflicts of interests, payment of substantial fees to the advisors and their affiliates, illiquidity and liquidations at less than the original amounts invested. Investing in these products may not be suitable for all investors. Shares will not be listed on a national securities exchange unless and until the offering terminates, which means there will be no public market for the securities during the offering period. You will have limited ability to sell your shares. There is no assurance that the shares will be listed on a national securities exchange after the termination of the offering.
